1. Overview

Welcome to DIAX™ (“DIAX,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of diaxsports.com, our online store, and related services provided directly by DIAX through the Site, including purchases of physical products, digital content, educational materials, subscriptions when offered, and other DIAX services (collectively, the “Services”).

These Terms apply to purchases and Services provided directly through diaxsports.com.

By accessing the Site, placing an order, creating an account, downloading content, or otherwise using the Services, you agree to be bound by these Terms and the policies incorporated into them. If you do not agree, please discontinue use of the Services.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to make purchases from the Site. By using the Services, you represent that you have the legal capacity to enter into a binding agreement.

4. Accounts, Accuracy & User Responsibility

You agree to provide accurate, complete, and current information for purchases, account registrations, shipping information, and communications.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account, except where otherwise required by applicable law.

Customers are responsible for verifying shipping and contact information before submitting an order. Incorrect or incomplete information may result in delays or delivery issues.

5. Products, Content & Availability

We make reasonable efforts to ensure product descriptions, images, pricing, availability, and other website content are accurate and current. However, occasional errors, omissions, updates, or differences may occur.

Product appearance or packaging may be updated from time to time. Before using any product, customers should review the physical product label, Supplement Facts panel, ingredient information, directions, warnings, and other information provided with the product.

We reserve the right to update, modify, limit, suspend, or discontinue products or Services, subject to applicable law.

6. Errors, Pricing & Order Cancellation

If a pricing, availability, inventory, technical, or other material error occurs, DIAX may correct the error and, where appropriate, cancel or decline an affected order.

If DIAX cancels an order after payment has been collected and the order will not be fulfilled, the applicable amount paid for the canceled portion will be returned as required by applicable law.

7. Payments

Payments are processed through authorized payment service providers. DIAX does not directly store complete payment card numbers on its own systems.

By placing an order, you authorize the applicable payment method to be charged for the amount shown at checkout, including applicable taxes and any charges disclosed before purchase.

8. Shipping & Delivery

DIAX currently ships eligible orders only within supported destinations in the United States. We are currently unable to ship to Alaska, Hawaii, or U.S. military base addresses.

Processing, shipping, and delivery times are estimates and may vary depending on carrier operations, weather, holidays, order volume, destination, inventory availability, and circumstances outside our reasonable control.

9. Replacements & Store Credit

If an order arrives damaged, defective, or incorrect, you must contact DIAX within 14 days of delivery and provide the information and evidence reasonably required to review the issue.

Eligible claims may be resolved through a replacement or store credit following review and verification, subject to our Replacement & Store Credit Policy and applicable law.

For eligible claims involving consumable products, customers are generally not required to send the product back unless specifically instructed otherwise by DIAX.

Requests based solely on change of mind, taste, preference, personal expectation, or similar reasons are handled according to our Replacement & Store Credit Policy. Nothing in these Terms limits remedies that cannot legally be waived or excluded.

10. Payment Disputes, Chargebacks & Fraud Prevention

If you experience an issue with an order, we encourage you to contact DIAX first so we have an opportunity to investigate and attempt to resolve the matter.

DIAX reserves the right to respond to and contest fraudulent, abusive, duplicate, or unsupported payment disputes using available order records, communications, transaction information, tracking information, and other relevant evidence.

Nothing in this section limits any rights you may have under applicable payment-network rules or consumer protection law.

11. Health & Safety Disclaimer

DIAX dietary supplements are not intended to diagnose, treat, cure, or prevent any disease. Statements regarding dietary supplement products have not been evaluated by the U.S. Food and Drug Administration where the applicable FDA disclaimer is required.

Always review and follow the directions and warnings provided on the product label.
Consult a qualified healthcare professional before use when appropriate.
Individual responses and results may vary.
Discontinue use and seek appropriate medical attention if you experience a serious adverse reaction.

Content provided through the Site is for general informational and educational purposes and is not a substitute for individualized medical, nutritional, or other professional advice.

12. Digital Products & Downloads

Unless otherwise stated at the time of purchase, digital products and downloads are provided for personal use and are not eligible for return once delivered or accessed, except where a refund or other remedy is required by applicable law.

You are responsible for maintaining access to the email address and compatible technology needed to receive digital content.

13. Intellectual Property

The DIAX name, trademarks, logos, graphics, website content, photographs, designs, text, digital materials, and other intellectual property displayed through the Services are owned by, licensed to, or otherwise lawfully used by DIAX SPORTS LLC.

You may not copy, reproduce, distribute, modify, sell, exploit, or use such materials for commercial purposes without prior written authorization, except as permitted by applicable law.

14. User Content & Reviews

If you voluntarily submit a review, photograph, testimonial, comment, or other content to DIAX, you represent that you have the right to submit that content.

You grant DIAX a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, and use submitted content in connection with operating, promoting, and marketing DIAX, subject to applicable law and our Privacy Policy.

You may not submit unlawful, fraudulent, defamatory, infringing, deceptive, or abusive content.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and Services are provided on an “as is” and “as available” basis without warranties that may lawfully be disclaimed.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot legally be excluded or limited.

16. Limitation of Liability

To the maximum extent permitted by applicable law, DIAX SPORTS LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the Services.

To the extent permitted by law, DIAX's aggregate liability arising from a particular purchase will not exceed the amount paid to DIAX for the product or Service giving rise to the claim.

These limitations do not apply where liability cannot lawfully be limited or excluded.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless DIAX SPORTS LLC from third-party claims arising from your unlawful misuse of the Services, violation of these Terms, or infringement of another person's rights.

18. Arbitration Agreement & Class Action Waiver

Please read this section carefully because it affects how certain disputes may be resolved.

Except for disputes that qualify for small claims court or where applicable law does not permit arbitration, you and DIAX agree that disputes arising out of or relating to these Terms, the Site, or purchases made directly through diaxsports.com will be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules then in effect.

The location and manner of arbitration will be determined in accordance with the applicable AAA rules and applicable law. Nothing in this section requires a consumer to travel to Orange County, California when applicable rules or law provide otherwise.

Class Action Waiver: To the extent permitted by applicable law, claims subject to arbitration must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Nothing in this section prevents either party from bringing an eligible individual claim in small claims court.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

For disputes that are not subject to arbitration and are not eligible for small claims court, the parties consent to jurisdiction in the appropriate state or federal courts located in Orange County, California, except where applicable law provides a consumer with another required forum.

20. Force Majeure

To the extent permitted by applicable law, DIAX will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including severe weather, natural disasters, carrier disruptions, labor disruptions, government actions, infrastructure failures, internet or system outages, or similar events.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, technology, or legal requirements.

When changes are made, the “Last Updated” date will be revised. Where required by law, material changes will be communicated using an appropriate method and any required consent will be obtained.

22. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
